Supplier General Terms and Conditions โ LOCATOL
Platform for management and booking engine of rental vehicles.
1. Identification of the parties
This agreement is entered into between:
LOCATOL, a technology platform providing management and booking engine services for self-drive rental vehicles, hereinafter referred to as "LOCATOL",
AND
The operator of a self-drive vehicle rental business, whether a natural person or a legal entity duly registered, hereinafter referred to as the "Supplier" or the "Agency".
LOCATOL and the Supplier are hereinafter collectively referred to as the "Parties".
2. Purpose of the agreement
The purpose of this agreement is to define the conditions under which:
- LOCATOL transparently provides the Supplier with:
- a SaaS application for fleet, reservation and operations management,
- and an online booking engine allowing the commercialisation of vehicles.
- and the Supplier authorizes LOCATOL to:
- publish, sell and market its vehicles,
- collect customer deposits,
- and connect its fleet to the LOCATOL platform.
LOCATOL is neither the owner, nor the operator, nor the lessor of the vehicles. The rental agreement is concluded directly between the Supplier and the end Customer.
3. Description of LOCATOL services
3.1 Management application (SaaS)
LOCATOL provides the Supplier with a complete infrastructure including:
- management of vehicles, documents, insurance, technical inspections and maintenance,
- management of reservations, payments, deposits, fines and customers,
- real-time planning,
- statistics, dashboards, invoicing,
- management of users and access rights.
3.2 Booking engine
- publishing the Supplierโs vehicles on the LOCATOL platform,
- a real-time availability engine,
- automated booking, payment and confirmation flows.
4. SaaS subscription
Access to the LOCATOL platform is billed as follows:
0,10 EUR (excluding tax) per day and per active vehicle.
Billing is payable in advance for the following periods:
- quarterly,
- semi-annually,
- or annually.
Any vehicle declared as active in LOCATOL is considered billable.
5. Booking engine โ Commission
When a customer books via LOCATOL:
- 10% of the reservation total is collected online by LOCATOL,
- this amount constitutes the LOCATOL commission and a customer deposit,
- the balance is paid directly to the Supplier upon delivery of the vehicle.
This commission remunerates:
- customer acquisition,
- technology,
- secure payment,
- risk management,
- and commercial distribution.
6. Supplier obligations
The Supplier shall comply with the following obligations:
6.1 Legality
- be compliant with the local law,
- hold all necessary operating authorizations,
- maintain insurance, licenses and documents.
6.2 Accuracy of data
The Supplier is solely responsible for:
- availability of vehicles,
- documents,
- prices and tariffs,
- options,
- and conditions communicated.
LOCATOL relies exclusively on the data provided by the Supplier.
6.3 Planning
The Supplier must:
- record all reservations, including those taken outside LOCATOL,
- maintain an up-to-date planning.
Any availability conflict is entirely the responsibility of the Supplier.
6.4 Rate parity
Prices provided to LOCATOL must be:
lower than or equal to the Supplierโs public prices (website, agency, OTAs, etc.).
6.5 Performance of reservations
The Supplier undertakes to honor all reservations confirmed via LOCATOL.
7. Suspension and termination
LOCATOL may suspend or terminate Supplier access in the event of:
- false information,
- repeated unavailability,
- non-payment,
- poor service quality,
- serious customer complaint.
No compensation is due to the Supplier in such cases.
Non-payment entails:
- automatic suspension of online visibility,
- and deactivation of the extranet until regularization.
8. Liability
LOCATOL is not a party to the rental agreement.
The Supplier is solely responsible for:
- the vehicle,
- the customer,
- accidents,
- disputes,
- insurance,
- traffic violations,
- and service quality.
9. Ownership of data
- The Supplier remains the owner of its commercial data.
- LOCATOL remains the owner of the platform, algorithms, booking engine and interfaces.
10. Confidentiality
All information exchanged is strictly confidential and cannot be disclosed without prior written consent, except as required by law.
11. Acceptance
Registration, use or signature constitutes full acceptance of the present Supplier Terms and Conditions.
